Jawatankuasa pilihan khas parlimen harus bebas dan telus dalam siasatan terhadap Azam Baki (Malay/English)

[ENGLISH VERSION BELOW] Kami, selaku kumpulan masyarakat madani yang menandatangani kenyataan ini, mengambil maklum bahawa Jawatankuasa Pilihan Khas Bagi Agensi-agensi di bawah Jabatan Perdana Menteri akan mengadakan sebuah mesyuarat pada 19 Januari 2022 [telah ditunda] untuk menyiasat isu kontroversi pemilikan saham yang melibatkan ketua pesuruhjaya Suruhanjaya Pencegahan Rasuah Malaysia (SPRM) Azam Baki.

  • Difahamkan jawatankuasa pilihan khas telah meminta Azam sendiri untuk hadir dalam sesi pendengaran pada 19 Januari. Kami meminta supaya jawatankuasa ini mengumumkan terma rujukan siasatan yang akan dijalankan. Terma rujukan ini perlu secara jelas menggariskan tujuan siasatan dan skop siasatan yang akan dijalankan

Skop siasatan hendaklah termasuk untuk mendapatkan penjelasan mengenai perkara berikut:

    • Setakat mana pegangan saham Azam dalam syarikat-syarikat yang terlibat dalam dakwaan semasa terhadapnya dalam tempoh masa yang berkaitan, dan sejauh mana dan tujuan beliau memegang saham tersebut secara benefisial bagi pihak orang lain
    • Sama ada pegangan saham Azam dalam syarikat-syarikat tersebut, atas namanya sendiri atau digabungkan dengan pegangan saham pemilik benefisial sebenar dan mana-mana penama lain, berjumlah sekurang-kurangnya 5% daripada saham atau saham mengundi dalam mana-mana satu syarikat, dan sama ada gabungan pegangan saham mungkin telah mencetuskan kewajiban pelaporan, had dan kesalahan berkaitan pegangan saham substantial di bawah Akta Syarikat 2016 sekiranya pemilikan benefisial telah diisytiharkan dengan sewajarnya dan tepat pada masanya
    • Punca dana untuk pembelian saham berkenaan, dan sama ada beliau menerima sebarang hasil jualan, dividen atau keuntungan lain daripada pemilikan saham tersebut
    • Sama ada sebagai pemegang saham syarikat pada masa yang berkaitan, beliau mengambil bahagian sama ada secara langsung atau melalui proksi dalam resolusi pemegang saham atau keputusan yang mempengaruhi perniagaan, pentadbiran atau operasi syarikat-syarikat
    • Sama ada saham yang dibelikan oleh Azam telah diisytiharkan di bawah Akta Peraturan-Peraturan Pegawai Awam (Kelakuan dan Tatatertib) 1993
    • Sama ada akibat daripada perkara di atas, sebuah siasatan sedang dijalankan oleh Suruhanjaya Perkhidmatan Awam atau pihak berkuasa awam atau badan kawal selia lain yang diberi kuasa sewajarnya sama ada Azam telah melanggar Pekeliling Perkhidmatan Bil. 3 (2002) mengenai “Pemilikan dan pengisytiharan harta oleh pegawai awam”, yang menjadikannya suatu kesalahan untuk membeli lebih daripada 5% modal terbayar atau saham bernilai RM100,000 dalam syarikat tertentu, dan apakah jangka masa dan bidang kuasa penyiasatan sedemikian
    • Sama ada status pemilikan benefisial saham telah diisytiharkan kepada pihak berkuasa kawal selia yang berkenaan dan seterusnya sama ada terdapat alasan untuk menyiasat jika kesalahan telah dilakukan di bawah Seksyen 25(4), 25(5), 25A(2) dan/atau 49 Akta Perindustrian Sekuriti (Depositori Pusat) 1991 (Sicda) dibaca bersama Kaedah 25.02B, 25.02C dan 25.03 Kaedah-kaedah Bursa Malaysia Depository Sdn Bhd
    • Sama ada dan sejauh mana syarikat dan broker saham yang terlibat sedar secara nyata atau tersirat tentang sebarang status pemilikan benefisial bagi saham berkenaan, berdasarkan kuasa atau kewajiban masing-masing di bawah Akta Syarikat (seperti Seksyen 56), Sicda atau kaedah-kaedah Bursa Malaysia Depository
    • Sama ada akibat daripada perkara di atas, siasatan sedang dijalankan oleh Suruhanjaya Sekuriti, Bursa Malaysia, Bursa Malaysia Depository dan/atau pihak berkuasa kawal selia lain dan
    • Sama ada berdasarkan fakta dan perkara yang dibentangkan kepada jawatankuasa pilihan khas ataupun tidak, terdapat alasan yang munasabah untuk sebuah siasatan mungkin diperlukan di bawah peruntukan Akta Suruhanjaya Pencegahan Rasuah Malaysia atau undang-undang lain yang termasuk dalam bidang penyiasatan SPRM terhadap mana-mana orang atau entiti, dan jika ya, apakah tindakan yang sedang diambil oleh SPRM
    • Sama ada dan jika ya, apakah tindakan dan pembaharuan struktur dan operasi SPRM yang diperlukan untuk mempertahankan integriti dan kredibiliti SPRM
  • Selain itu, JPK perlu memanggil semua pihak yang terlibat dalam isu ini, termasuk Lalitha Kunaratnam yang membuat laporan, bekas pemimpin SPRM semasa kes ini, pihak berkuasa kawal selia yang berkaitan menyiasat atau mempunyai bidang kuasa berhubung perkara berkenaan untuk memberikan maklumat dan penjelasan, dan untuk menguji kebenaran dakwaan dan dakwaan balas dalam kes ini. Tidak cukup jika Azam sahaja dipanggil untuk memberi penjelasan kepada jawatan kuasa pilihan khas
  •  Kami juga menggesa agar sesi pendengaran dijalankan secara terbuka dan disiarkan secara langsung di saluran-saluran rasmi parlimen dan kerajaan agar keyakinan rakyat terhadap institusi Parlimen agar bertindak sebagai badan semak dan imbang berkesan kepada eksekutif kekal utuh
  • Kami menggesa penyata jawatankuasa pilihan khas mengenai siasatan ini dibentangkan dan dibahaskan di Parlimen sebaik sahaja ia selesai

Parliamentary Special Select Committee must be independent and transparent in inquiry into allegations against Azam Baki

We, the undersigned civil society groups, note that the Parliamentary Special Select Committee for Agencies under the Prime Minister’s Department will hold a meeting on 19 January 2022 [now postponed) to inquire into the controversial issue of shares ownership involving the chief commissioner of the Malaysian Anti-Corruption Commission (MACC), Azam Baki.

  • It is understood that the parliamentary special select committee has summoned Azam himself to the hearing on 19 January. We request the committee to announce the terms of reference of the inquiry that will be conducted. These terms of reference should clearly outline the purpose of the inquiry and the scope of the inquiry to be conducted.

The scope of the inquiry should include seeking clarification on the following:

    • The extent of Azam’s shareholding in the companies that are implicated in the current allegations against him during the relevant period of time, and to what extent and purpose he held those shares beneficially on behalf of others
    • Whether Azam’s shareholding in the respective companies, in his own name or combined with the shareholding of the ultimate beneficial owner and any other nominees, amounted to at least 5% of the shares or voting shares in either of the companies, and whether the combined shareholding may have otherwise triggered the reporting obligations, limitations and offences relating to substantial shareholding under the Companies Act 2016 had the beneficial ownership been duly and timely declared
    • The source of funds for the purchase of the shares in question, and whether he received any proceeds of sale, dividends or other profits from his ownership of those shares
    • Whether as a shareholder of the companies during the relevant time, he participated either directly or through proxies in shareholder resolutions or decisions that affected the companies’ business, administration or operations
    • Whether the shares purchased by Azam have been declared under the Public Officers Regulations Act (Conduct and Discipline) 1993
    • Whether as a consequence of the above, an investigation is being conducted by the Public Services Commission or other duly empowered public authority or regulatory body into whether Azam has violated Service Circular No. 3 (2002) on the “Ownership and Declaration of Assets by Public Officers”, which makes it illegal to purchase more than 5% of paid-up capital or RM100,000 worth of shares in a particular company, and what is the timeframe and purview of such an investigation
    • Whether the beneficial ownership status of the shares has been declared to the appropriate regulatory authority and consequently whether there are grounds to investigate if an offence has been committed under Sections 25(4), 25(5), 25A(2) and/or 49 of the Securities Industry (Central Depositories) Act 1991 (Sicda) read together with Rules 25.02B, 25.02C and 25.03 of the Rules of Bursa Malaysia Depository Sdn Bhd
    • Whether and to what extent the companies and stockbrokers involved were expressly or implicitly aware of any beneficial ownership status of the shares in question, by virtue of their respective powers or obligations under the Companies Act (such as Section 56), Sicda or the rules of Bursa Malaysia Depository
    • Whether as a consequence of the above, an investigation is being conducted by the Securities Commission, Bursa Malaysia, Bursa Malaysia Depository and/or other regulatory authorities, and
    • Whether or not based on the facts and matters laid before the parliamentary special select commttee, there are reasonable grounds to believe that an investigation may also be required under the provisions of the Malaysian Anti-Corruption Commission Act or other laws that fall within the investigative purview of the MACC against any person or entity, and if so, what are the actions that are being taken by the MACC
    • Whether and if so what actions and reforms of the MACC structure and operations are required to defend the integrity and credibility of the MACC
  • In addition, the parliamentary special select committee should call all parties involved in this issue, including Lalitha Kunaratnam who made the report, former MACC leaders during this case, and the relevant regulatory authorities investigating or having purview over the matters concerned, to provide information and clarification and to test the veracity of allegations and counter allegations in this case. It is not enough if only Azam is called to give an explanation to the special select commitee
  • We also urge that the hearing sessions be conducted openly and broadcast live on the official channels of Parliament and the government so that the people’s confidence in the institution of Parliament to provide effective checks and balances over the executive remains intact
  • We call for the report of the parliamentary special select committee on this inquiry to be tabled and debated in Parliament once it is completed

Parliament through its committees should continue to proactively respond to national issues, especially when it involves allegations of corruption involving public institutions such as the MACC now, so that the values ​​of efficiency, accountability and transparency continue to be preserved.
